This letter constitutes the agreement (the “Agreement”) between Iron Mountain Incorporated, a Delaware corporation (the “Company”), Elliott Associates, L.P. (“Elliott Associates”) and Elliott International, L.P. (“Elliott International” and together with Elliott Associates, the “Investors”) with respect to the matters set forth below. The Company and the Investors have agreed that it is in their mutual interests to enter into this Agreement, which, among other things, terminates the pending proxy contest for the election of directors at the 2011 Annual Meeting (hereinafter defined).
