This INDEMNIFICATION AGREEMENT is made as of this 9th day of February, 1999 (“Agreement”) by and between The Chile Fund, Inc., a Maryland corporation (the “Company”), and James J. Cattano (“Indemnitee”).

This Second Amendment (“Amendment”), effective as of September 24, 2010 (“Effective Date”), is to the Registrar Transfer Agency and Service Agreement (the “Agreement”) made as of March 1, 2003, between Computershare Inc. (“Computershare”), formerly known as EquiServe, Inc., and Computershare Trust Company, N.A., (the “Trust Company”), formerly known as EquiServe Trust Company, N.A., (collectively, the “Transfer Agent”) and Aberdeen Chile Fund, Inc., formerly known as The Chile Fund, Inc., (the “Fund”). Terms used, but not otherwise defined in this Amendment, shall have the same meaning as those terms in the Agreement.

THIS AMENDMENT, dated as of May 8, 2001 between each of the Investment Companies listed on Appendix C hereto ( each “FUND” and collectively, the “FUNDS”), and BROWN BROTHERS HARRIMAN & CO., a limited partnership formed under the laws of the State of New York (BBH&Co. or the Custodian), amends the Custodian Agreement between the parties dated June 14, 1995 (the “Custodian Agreement”).

BEA Administration, Administradora de Fondos de Inversion de Capital Extranjero S.A. (the “Chilean Administrator”), a corporation organized under the laws of Chile, has entered into an agreement dated November 4, 1997, with each of The Chile Fund, Inc. (the “Company”), a corporation organized under the laws of the state of Maryland, and BEA Associates (“BEA”), a general partnership organized under the laws of the state of New York (the “Chilean Administration Agreement”), regarding administration services to be provided by the Chilean Administrator to the Company. A copy of the Chilean Administration Agreement is attached hereto.

THIS AGREEMENT by and between BROWN BROTHERS HARRIMAN & CO., a limited partnership organized under the laws of the State of New York (the “Administrator”), and each of the Investment Companies listed on Appendix A hereto (each, the “Fund”), shall be effective August 1, 2008.
