SECOND SUPPLEMENTAL INDENTURE, dated as of March 10, 2011 (this “Supplemental Indenture”), by and among DIRECTV Holdings LLC (the “Company” or an “Issuer”), a Delaware limited liability company, DIRECTV Financing Co., Inc.
