WARRANT AGENT AGREEMENT, dated as of , 2010 (the “Agreement”), between Accuride Corporation, a Delaware corporation (the “Company”), and American Stock Transfer & Trust Company LLC, a New York limited liability trust company, as Warrant Agent (the “Warrant Agent”). Capitalized terms used but not otherwise defined herein shall have the respective meanings ascribed thereto in the Form of Warrant attached as Exhibit A hereto.

THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made by and among Accuride Corporation, a Delaware corporation (the “Company”), and each of the Persons identified as a “Holder” on Schedule I attached hereto and their successors and assigns as provided for in Section 10(g) hereto (collectively, the “Holders”), and is to become effective on the Plan Effective Date (as defined below).
