This Settlement Agreement (“Agreement”) is made and entered into as of December 22, 2009, by and between World Wrestling Entertainment, Inc. (“WWE”), on the one hand, and THQ Inc. (“JAKKS”) and THQ/JAKKS Pacific, LLC (the “LLC”). THQ, JAKKS and the LLC are referred to collectively as the “Parties” and individually as a “Party.”
