This CREDIT AGREEMENT is dated as of November 19, 2009 and entered into by and among TRANSACTION NETWORK SERVICES, INC., a Delaware corporation (“Borrower”), TNS, INC., a Delaware corporation (“Holdings”), the financial institutions who are or hereafter become parties to this Agreement as Lenders, SUNTRUST BANK (in its individual capacity “SunTrust”), as Agent, Swing Line Lender and L/C Issuer, GENERAL ELECTRIC CAPITAL CORPORATION, as Documentation Agent and BANK OF AMERICA, N.A., as Syndication Agent.
