THIS SECOND AMENDED AND RESTATED INDEMNIFICATION AGREEMENT (this “Agreement”) is entered into as of the 24th day of April, 2008, by and among MarkWest Energy Partners, L.P., a Delaware limited partnership (the “Partnership”), MarkWest Energy GP, L.L.C., a Delaware limited liability company and the general partner of the Partnership (the “General Partner”), and the undersigned Director and/or Officer of the General Partner (“Indemnitee”).
