WHEREAS, the parties recognize that part of Aon’s business is to act as a managing general agent or underwriting manager for insurance carriers; and

WHEREAS, the parties have agreed to amend the Settlement Agreement to clarify its application to certain Aon businesses and practices;

WHEREAS, pursuant to paragraph 38 of the Settlement Agreement, the parties recognize that Aon has the right to request that the parties modify the Settlement Agreement if compliance with any aspect of the Settlement Agreement proves impracticable; and
