THIS SECOND AMENDED AND RESTATED EMPLOYMENT AGREEMENT (the “Agreement”) is made as of August 4, 2008 (the “Effective Date”), by and between Virgin Media Inc., a Delaware corporation (the “Company”), and Bryan H. Hall (the “Executive”).
