Penn West Energy Trust (the “Issuer”), an open-ended investment trust established under the laws of Alberta, and Penn West Petroleum Ltd. (“Penn West”), a corporation incorporated under the laws of Alberta, confirm their respective agreements (collectively, this “Agreement”) with SG Americas Securities, LLC (“SGAS”) and FirstEnergy Capital Corp.
