This Amended and Restated Professional Services Agreement (this “Agreement”) is made as of February 1, 2008 by and among Bear Stearns Merchant Manager III, L.P (f/k/a Bear Stearns Merchant Manager III (Cayman), L.P.), a Cayman Islands exempted limited partnership (“BSMB”), and Universal Hospital Services, Inc. (the “Company”), a Delaware corporation and amends and restates the Professional Services Agreement made as of May 31, 2007 (the “Original Agreement”). Certain capitalized terms used herein are defined in Section 8 below.
