THIS AGREEMENT (“Agreement”), dated the 17th day of April, 2007, as amended, on July 16, 2007, and September 13, 2007 made and entered into by and between the Reserve Municipal Money-Market Trust II, a Massachusetts business trust (the “Trust”), on behalf of the Funds listed on Schedule A (each a “Fund”), and Reserve Management Company, Inc., a New Jersey corporation having its principal place of business in New York (the “Manager”).
