This Delta Connection Hosted Prorate Agreement (the “Agreement”), dated as of March 12th, 2007, is entered into by and between Delta Air Lines, Inc., a corporation organized under the laws of Delaware (“Delta”) and Big Sky Transportation Co. This Escrow Agreement (this “Agreement”) is made and entered into as of the day of March, 2007 by and among CHAMPLAIN ENTERPRISES, INC. d/b/a CommutAir, a corporation organized under the laws of the State of New York with an address at 518 Rugar Street, Plattsburgh, New York 12901 (“Seller”), BIG SKY TRANSPORTATION CO. d/b/a Big Sky Airlines, a corporation organized under the laws of the State of Montana, with an address at 1601 Aviation Place, Billings Montana 59105 (“Buyer”) and DAUGHERTY, FOWLER, PEREGRIN, HAUGHT & JENSON, 204 North Robinson Avenue, Suite 900, Oklahoma City, Oklahoma 73102 (“Escrow Agent”).
