This Amendment, dated as of October 3, 2006 (the “Amendment”), to the Rights Agreement, dated as of May 13, 2005, as amended June 7, 2006 (the “Rights Agreement”), is between Axonyx Inc., a Nevada corporation (the “Company”), and The Nevada Agency and Trust Company (the “Rights Agent”).

(the “Company”) has awarded you a Restricted Stock Unit pursuant to Section 6(b) of the Company’s 2006 Equity Incentive Plan (the “Plan”) for the number of shares of the Company’s common stock (“Common Stock”) indicated in the Grant Notice (collectively, the “Award”). Capitalized terms not explicitly defined in this Agreement but defined in the Plan shall have the same definitions as in the Plan.
