THIS AGREEMENT (the “Agreement”) is entered into effective as of this 2nd day of January, 2006 (the “Effective Date”), by and between Tapestry Pharmaceuticals, Inc., a Delaware corporation (the “Company”), and Donald Picker (“Executive”).
