This STOCK PURCHASE AGREEMENT is made as of December 29, 2006, by and between BRAND HOLDINGS, LLC, a Delaware limited liability company (“Seller”), BRAND ENERGY & INFRASTRUCTURE SERVICES, INC., a Delaware corporation (the “Company”), and FR BRAND ACQUISITION CORP., a Delaware corporation (“Purchaser”).
