This Agreement is by and between APPLE and COMPANY, as identified in the Cover Sheet attached hereto and is entered into as of the date this Agreement is signed by both APPLE and COMPANY (the “Effective Date”).

This Agreement confirms the arrangement between Licensor and Licensee whereby Licensor shall grant to Licensee a non-exclusive license during the Term and within the Territory to use Licensor’s Master Recordings in accordance with the terms and conditions set out in this Agreement.

This Agreement is made and entered into effective as of the 10th October, 2005 (“Effective Date”) by and between Dominion Entertainment, Inc., a Minnesota corporation, having its principal place of business at 2655 Cheshire Lane North, Suite 100, Plymouth, MN 55447 (“Licensor”) on one hand; and BCI Eclipse Company, LLC, a Minnesota limited liability company, 810 Lawrence Drive, #100, Newbury Park, CA 91320 (“Licensee”) on the other hand.
