Capitalized terms not defined herein shall have the meanings given them in that certain Common Stock Purchase Warrant Agreement dated on or about January 30, 2006 by and between the Holder and the Company (the “Warrant”), and that certain related Securities Purchase Agreement dated as of January 30, 2006 by and between the Holder and the Company.
