THIS NON-COMPETE, NON-SOLICITATION AND NON-DISCLOSURE AGREEMENT (this “Agreement”), dated as of May 2, 2006 (the “Effective Date”), is made and entered into by and between Upstate Group, L.L.C., a Delaware limited liability company (“Purchaser”), and Rick L. Ryan, PhD, an individual resident of the State of Missouri (“Covenantor”). Your Employment under these terms shall commence on the closing of the Transaction (the “Effective Date”) and continue through April 27, 2007, unless otherwise terminated pursuant to the provisions hereof. The parties agree to commence discussions regarding continuation of Executive’s employment no later than ninety (90) days prior to April 27, 2007.
