THIS ADMINISTRATIVE SERVICES AGREEMENT (this “Agreement”), dated January 3, 2006 (the “Effective Date”), is made and entered into by and between Mirant Services, LLC, a Delaware limited liability company (the “Service Provider”), and Mirant Mid-Atlantic, LLC, a Delaware limited liability company (the “Service Recipient”). Service Provider and Service Recipient sometimes are referred to herein individually as a “Party” and collectively as the “Parties”.
