This Security Agreement (as amended, modified or otherwise supplemented from time to time, this “Security Agreement”), dated as of March , 2006, is executed by ImageWare Systems, Inc., a Delaware corporation (together with its successors and assigns, “Company”), in favor of Little Bear Investments, LLC (the “Lenders’ Agent”) as Collateral Agent (as herein defined) on behalf of the Purchasers listed on Schedule A hereto.
