THIS AGREEMENT AND PLAN OF MERGER, dated as of March 2, 2006 (the “Agreement), is made by and between IT&E International Group., a Nevada corporation (“IT&E Nevada”), and IT&E International Group, Inc., a Delaware corporation (“IT&E Delaware”).
