AGREEMENT, dated as of , 2005, by and among Firsthand Funds, a Delaware statutory trust which is an investment company registered under the Investment Company Act of 1940, as amended (“Investment Company Act”), Firsthand Capital Management, Inc., a corporation organized under the laws of the State of California (the “Manager”), and Sectoral Asset Management Inc. a corporation organized under the laws of Canada (the “Sub-Adviser”).
