THIS AGREEMENT, effective July 6, 2005, is between MSC.Software Corporation, a Delaware corporation (the “Company”) and John A. Mongelluzzo (the “Executive”) and replaces and supersedes, in its entirety, that Severance Compensation Agreement between the Company and Executive dated March 17, 2005, and such previous agreement shall be null and void in all respects.
