This AMENDED AND RESTATED EMPLOYMENT AGREEMENT (the “Agreement”) is entered into as of April 19, 2005, by and between Thomas M. Prescott (the “Executive”) and Align Technology, Inc., a Delaware corporation (the “Company”). This Agreement supersedes and replaces in its entirety that certain Employment Agreement dated March 27, 2002 between the Executive and the Company.
