THIS STOCK PURCHASE AGREEMENT (“Agreement”), made and entered into effective as of the 28th day of February, 2005, by and among DIGITAL ANGEL CORPORATION, a Delaware corporation (“Buyer”); and LASSE NORDFJELD, who holds Shares under LANO Holding ApS (“L. Nordfjeld”) and TORSTEN NORDFJELD, who holds Shares as an individual and holds Bonds (as defined below) under LATO Aps (“T. Nordfjeld”) (L. Nordfjeld and T.
