This Amendment No. 3 to Second Amended and Restated Loan Agreement (this “Amendment”) dated as of April 16, 2004 is made with reference to the Second Amended and Restated Loan Agreement, dated as of June 29, 2001 (as amended from time to time, the “Loan Agreement”), among Eldorado Resorts LLC, a Nevada limited liability company (the “Borrower”), the Banks referred to therein, and Bank of America, N.A., as Administrative Agent. Capitalized terms used in this Amendment but not defined herein are used with the meanings set forth for those terms in the Loan Agreement.
