This REGISTRATION RIGHTS AGREEMENT, dated as of March 21, 2003, is between ZENITH NATIONAL INSURANCE CORP., a Delaware Corporation (together with any successor entity, herein referred to as the “Issuer”), and the initial purchasers named in Schedule A of the Purchase Agreement (as defined below) (the “Initial Purchasers”) for whom BANC OF AMERICA SECURITIES LLC, MERRILL LYNCH & CO. and MERRILL LYNCH, PIERCE, FENNER & SMITH INCORPORATED are acting as representatives (in such capacity, the “Representatives”).
