THIS CREDIT AGREEMENT, dated as of December 8, 2004, is made among EVEREST RE GROUP, LTD., a company organized under the laws of Bermuda (“Everest Group”), EVEREST REINSURANCE (BERMUDA), LTD., a company organized under the laws of Bermuda (“Everest Bermuda”), EVEREST INTERNATIONAL REINSURANCE, LTD., a company organized under the laws of Bermuda (“Everest International”, and collectively with Everest Group, Everest Bermuda and any other Person that joins this Agreement upon the terms and conditions set forth in Section 11.19, the “Borrowers”), the Lenders (as hereinafter defined) and WACHOVIA BANK, NATIONAL ASSOCIATION (“Wachovia”), as administrative agent for the Lenders, and BARCLAYS BANK PLC, CITIBANK, N.A., DEUTSCHE BANK AG NEW YORK BRANCH and THE ROYAL BANK OF SCOTLAND PLC, as Documentation Agents for the Lenders.
