This Employment Agreement (this "Agreement"), effective as of the Effective Date, is by and among CHEMTURA CORPORATION, a Delaware corporation ("Chemtura"), and ROBERT L. WOOD (the "Executive"). 1. Definitions. As used in this Agreement, the following terms have the following meanings: (a) "Affiliate" means, with respect to any entity, any other corporation, organization, association, partnership, sole proprietorship or other type of entity, whether incorporated or unincorporated, directly or indirectly controlling or controlled by or under direct or indirect common control with such entity. (b) "Board" means the Board of Directors of Chemtura. (c) "Cause" means, during the course of the Employment Term: (i) theft, fraud, embezzlement or intentional disclosure of confidential and/or proprietary information; (ii) conduct or plans to engage in conduct that in the good faith belief of the Board is or would be a material breach of Paragraph 8 and/or Paragraph 9 of this Agreemen
