This Separation Agreement and Release (this "Agreement") is entered into between Charter Communications, Inc. (the "Company" or "Charter") and me, Marwan Fawaz, as a condition to my receiving payments pursuant to my Amended and Restated Employment Agreement with Charter dated January 3, 2011 (the "Employment Agreement"), in connection with my separation from the Company, as of March 25, 2011 (the "Termination Date").
