This Separation Agreement and Release (this "Agreement") is entered into between Charter Communications, Inc. (the "Company" or "Charter") and me, Eloise E. Schmitz, as a condition to my receiving payments pursuant to my Amended and Restated Employment Agreement with Charter dated July 1, 2008, as amended by that certain “Amendment to Amended and Restated Employment Agreement” dated November 30, 2009 (as amended, the "Employment Agreement"), in connection with the termination of my employment with Charter, without cause, as of July 31, 2010 (the "Termination Date").
