This Separation Agreement and Release (this “Agreement”) is entered into between Charter Communications, Inc. (the “Company” or “Charter”) and me, Grier C. Raclin, as a condition to my receiving payments pursuant to my Amended and Restated Employment Agreement with Charter dated August 1, 2007, as amended (as amended, the “Employment Agreement”), in connection with the termination of my employment with Charter as of December 15, 2009 (the “Termination Date”).
