This is to certify that, for value received, W. Sam Chandoha (the “Holder”) is entitled to purchase, subject to the provisions of this Warrant Certificate, from Findex.com, Inc. a Nevada corporation (the “Company”), at any time up to 5:00 PM C.S.T. on July 20, 2009, up to an aggregate of one hundred thousand (100,000) shares of the Company’s common stock, par value $0.001 per share, (the “Common Stock”) at a purchase price per share of 07/100 cents (USD$0.07) in currency of the United States of America. The number of shares of Common Stock to be received upon the exercise of the warrant reflected by this Warrant Certificate (the “Warrant”) and the exercise price to be paid for each share of Common Stock purchased pursuant to this Warrant may be adjusted from time to time as hereinafter set forth. The shares of the Common Stock deliverable upon such exercise are hereinafter sometimes referred to as “Warrant Shares,” and the exercise price of a share of Common Stock in effect at any time
