RESTATED INVESTOR RIGHTS AGREEMENT This Restated Investor Rights Agreement (the "Agreement") is effective as of August 20, 1999 by and among E-Loan, Inc. (the "Company") and the investors listed on Schedule A attached hereto (the "Investors").
