This AMENDED AND RESTATED AGREEMENT is made as of this 1st day of February, 2017, between Wells Fargo Master Trust (the “Trust”), a statutory trust organized under the laws of the State of Delaware with its principal place of business at 525 Market Street, 12th Floor, San Francisco, California 94105, Wells Fargo Funds Management, LLC (the “Adviser”), a limited liability company organized under the laws of the State of Delaware with its principal place of business at 525 Market Street, 12th Floor, San Francisco, California 94105, and Analytic Investors, LLC, a limited liability company organized under the laws of the State of Delaware, with its principal place of business at 555 West Fifth Street, 50th Floor, Los Angeles, California 90013 (the “Sub-Adviser”).

This fee agreement is effective as of the 1st day of October, 2011, and amended the 16th day of November, 2016, by and among Wells Fargo Funds Management, LLC (the “Adviser”) and Golden Capital Management, LLC (the “Sub-Adviser”).
