This Intellectual Property Rights Purchase and Transfer Agreement (this “Agreement”) is made as of this 13th day of July, 2020 (“Closing Date”), between Zoompass Holdings Inc., a Company organized and existing under the laws of Nevada, with principal address at 2455 Cawthra Road, Unit 75, Mississauga, Ontario, Canada L5A 3P1, (hereinafter referred to as “Zoompass” or “Buyer”), and Moxie Holdings Private Ltd., a Corporation operating under the laws of India with address at 10/37 Phase 2, Avas Vikas, Budh Vihar, Moradabad, Uttar Pradesh, India 244001, hereinafter referred to as (“Moxie” or “Seller”).
