Silver Bull Resources, Inc., a corporation organized and existing under the laws of Nevada (the “Company”), proposes, subject to the terms and conditions stated in this Placement Agency Agreement (the “Agency Agreement”) to issue and sell up to an aggregate of 22,750,000 units (the “Units”) at a purchase price of US$0.40 per Unit, each Unit consisting of one share (“Share”) of the Company’s common stock, US$0.01 par value per share (the “Common Stock”) and one-half of one fully transferable common stock purchase warrant (each whole common stock purchase warrant, a “Warrant”), and, for the sole purpose of covering over-allotments (if any) in connection with the offer and sale of the Units, at the option (the “Over-Allotment Option”) of the Co-Lead Agents (as defined below), up to an additional 10% of the Units (the “Additional Units”) for a period of 30 days from the Closing Date (as defined below) and in accordance with section 21 hereof.
