THIS INVESTOR RIGHTS AGREEMENT (the “Agreement”) is entered into as of this 9th day of November 2009, by and among Iris Energy Holdings Limited (“Iris”), The Peierls Foundation (“TPF”), Brian E. Peierls (“BEP”), and Michael Barish (“Barish”). Iris, TPF, BEP and Barish are referred to herein sometimes collectively as the Parties and individually as a “Party.”
