THIS AGREEMENT AND PLAN OF MERGER (this “Agreement”), is dated as of the 23rd day of August, 2011, by and among Blue Moose Media, Inc., a Nevada corporation (“BLUE MOOSE”), Blue Moose Delaware Merger Sub, Inc., a Delaware corporation (“MERGER SUB”) and LiqTech USA, Inc., a Delaware corporation (“LIQTECH”).
