This Share Exchange Agreement (this “Agreement”) dated as of January 12, 2011, is by and among Media Technologies, Inc., a Nevada corporation (the “Corporation” or “MDTC”), TechTV Media Inc., a Nevada Corporation (the “TechTV”), and R.
