AGREEMENT dated this 3 day of December 2007, by and between HPC POS SYSTEM, CORP. (hereinafter “HPC”), a Nevada Corporation, with offices located at 220 Little Falls Road, Unit #4, Cedar Grove, New Jersey 07009, Mordechai Guttman, President of HPC and Gary B. Wolff, P.C., counsel to HPC, with offices located at 488 Madison Avenue, Suite 1100, New York, New York 10022.
