THIS AGREEMENT, dated as of the 30th day of September 2002 by and among Sun Life Assurance Company of Canada (U.S.), a Delaware insurance company, Sun Life Insurance and Annuity Company of New York, a New York insurance company (each of which is hereinafter referred to as the åCompanyæ), on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A hereto as may be amended from time to time (each account hereinafter referred to as the "Account"), First Eagle SoGen Variable Funds, Inc. (the "Fund"), a corporation organized under the laws of Maryland, and Arnhold and S. Bleichroeder, Inc. (the "Underwriter"), a New York corporation.

THIS AGREEMENT, made and entered into as of this 1st day of April, 2007, by and among SUN LIFE ASSURANCE COMPANY OF CANADA (U.S.), a Delaware life insurance company, SUN LIFE INSURANCE AND ANNUITY COMPANY OF NEW YORK, a New York life insurance company, INDEPENDENCE LIFE AND ANNUITY COMPANY, a Rhode Island life insurance company (each, a åCompanyæ and collectively, the åCompaniesæ), on each Company’s own behalf and on behalf of each Company’s separate accounts (the åAccountsæ); COLUMBIA FUNDS VARIABLE INSURANCE TRUST I, an open-end management investment company organized under the laws of Delaware (the åFundæ); COLUMBIA MANAGEMENT ADVISORS, LLC (the åAdviseræ), a Massachusetts limited liability corporation; and COLUMBIA MANAGEMENT DISTRIBUTORS, INC. (the åDistributoræ), a Massachusetts corporation, outlines the duties and responsibilities of the parties and supercedes all prior participation agreements between the parties and their successors.

In advance of any policy issuance [or material increase], the Proposed Insured will be notified in writing of the maximum total amount of insurance to be purchased at the time the policy or policies are issued.

This Policy is a legal contract in which We, Sun Life Assurance Company of Canada (U.S.), a member of the Sun Life Financial group of companies, promise to provide the kind of insurance described below. Until that time, We agree to provide You, as Owner, the other rights and benefits of this Policy. These rights and benefits are subject to the provisions on the pages which follow.
