This Agreement and Plan of Merger (the “Agreement”) is made as of this 1st day of July, 2008 by and among Bridgeline Software, Inc., a Delaware corporation, with a principal place of business at 10 Sixth Road, Woburn, Massachusetts 01801 (“Bridgeline Software”), Indigio Group, Inc. (the “Seller”), a Colorado corporation, with a principal place of business at 410 17th Street, Denver, Colorado 80202, and Timothy Higgins, Michael Higgins and Jeff D.
