This FIRST AMENDMENT TO UNIT PURCHASE AGREEMENT (this “Amendment”), dated as of September 30, 2005, is among Pick-N-Pull Auto Dismantlers, a California general partnership (“PNP”), PNP Commercial Acquisition, LLC, a Delaware limited liability company and a wholly-owned subsidiary of Norprop, Inc., one of the general partners of PNP (“Buyer”), and Tree Acquisition, L.P., a Delaware limited partnership (“Tree”).

This Unit Purchase Agreement (the “Agreement”) is made and entered into as of August 5, 2005, by and among Pick-N-Pull Auto Dismantlers, a California general partnership (“PNP”), PNP Commercial Acquisition, LLC, a Delaware limited liability company and a wholly-owned subsidiary of Norprop, Inc., one of the general partners of PNP (“Buyer”), and Tree Acquisition, L.P., a Delaware limited partnership (“Tree”). The closing of the transactions contemplated by this Agreement is referred to herein as the “Closing.”

This Agreement of Purchase and Sale (“Agreement”) is entered into this 5th day of August, 2005, by and between Ford Motor Company, a Delaware corporation (“Seller”), and PNP Commercial Acquisition, LLC (“Buyer”), a Delaware limited liability company and a wholly owned subsidiary of Norprop, Inc., one of the general partners of Pick-N-Pull Auto Dismantlers, a California general partnership. Buyer and Seller are each referred to herein as a “Party” and together as the “Parties.”
