THIS NOTE AND WARRANT PURCHASE AGREEMENT (this “Agreement”) is made as of March 21, 2007, among Siboney Corporation, a Maryland corporation (the “SBON”), Siboney Learning Group, Inc., a Texas corporation (“SLG”), together with any other Persons from time to time joined as parties hereto as a borrower, collectively being referred to herein as the “Borrowers” and individually as a “Borrower”), Timothy J.
