(the "Company"), a corporation duly incorporated under the laws of Canada, with principal office and place of business at 3435 Pitfield Blvd., Montreal (Quebec), Canada, H3S 1H7, represented herein by Mr. Tennyson Anthony, Chairman of its Audit Committee, as authorized by the Board of Directors, and Elio Sorella (the "Executive"), residing at 298 Rosario Street, Laval (Quebec), Canada, H7X 3P7.
