This PREFERRED SHARES RIGHTS AGREEMENT (this “Agreement”), dated as of November 20, 2012, is by and between China Biologic Products, Inc., a Delaware corporation (the “Company”), and Securities Transfer Corporation, a Texas corporation, as rights agent (the “Rights Agent”).
