THIS INDEMNIFICATION AGREEMENT (this “Agreement”) is entered into as of the date executed below, by and between JayHawk Energy, Inc., a Nevada corporation (the “Company” or “JayHawk”), and _______________________________________(“Indemnitee”). Company and Contractor are individually referred to as a (“Party”) and are collectively referred to in this Agreement as the (“Parties”).

The Company and Stopher are individually referred to as a “Party” and collectively referred to as the “Parties”. The effective date of this Agreement is the execution date of the last Party to sign this Agreement.
