THIS SECOND AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is effective as of September 26, 2018 (“Effective Date”) between Oglethorpe Power Corporation (An Electric Membership Corporation) (“the Company”) and William F. Ussery (“Employee”). This Agreement amends and restates the amended and restated employment agreement, effective January 1, 2017, between the Company and the Employee, in its entirety. The Company desires to employ Employee, and Employee desires to accept employment with the Company, under the following terms and conditions. Therefore, in consideration of Employee’s employment with the Company and the mutual promises and conditions contained in this Agreement, the adequacy of which the parties hereby acknowledge, Employee and the Company agree as follows:
